Duties & Responsibilities SUMMARY OF ESSENTIAL DUTIES AND RESPONSIBILITIES: The Associate Counsel serves as a day-to-day legal resource on a wide range of regulatory, transactional, corporate or investigatory matters. Under the direction and supervision of senior legal staff, the Associate Counsel conducts legal research; reviews, drafts, and negotiates agreements; assists with litigation matters and the management of outside counsel; supports responses to audits, government investigations, and regulatory reviews; and advises senior System personnel on these topics. The Associate Counsel also assists in drafting and reviewing policies, procedures, and corporate governance documents, and monitors legal and regulatory developments to help ensure organizational compliance. The Associate Counsel’s portfolio may vary depending on office needs. In this role, the Associate Counsel will develop foundational experience and skills in litigation, health care regulatory, or transactional and corporate law. General Tasks And Responsibilities Include Depending on the needs of the Office, tasks and responsibilities will include: Contracts and Transactions: Review, draft, and interpret standard contracts, MOUs, or other agreements; assist senior counsel with more complex affiliations, joint ventures, or strategic transactions. Litigation Support: Assist with litigation management and coordination with outside counsel; process and respond to routine claims or subpoenas; support internal investigations under the direction of senior staff. Corporate Governance: Assist in drafting Board resolutions, reviewing Board minutes, and preparing bylaws or other corporate documents; conduct research to support compliance with Open Meetings Law and Public Officers Law. Legislation and Regulations: Track, review, and analyze proposed or enacted legislation, regulations, or agency guidance to assist senior counsel in evaluating operational impact or supporting implementation efforts. Operations & Collaboration: Participate in internal workgroups; draft preliminary legal memos, policies, and training materials for review by senior legal staff. Other Duties: All other tasks as assigned by the General Counsel, Deputy Counsel, or their delegates. Minimum Qualifications • Admission and active membership to New York State Bar; and • Three (3) years of experience and background in the practice of law subsequent to admission to the Bar in matters of litigation, negligence, corporate law, contracts, real estate, labor relations, labor law and employee relations; or • Two (2) years of experience and background in the practice of law subsequent to admission to the Bar in matters of litigation, negligence, corporate law, contracts, real estate, labor relations, employment law and employee relations; and two (2) years of progressively responsible experience in a professional or managerial capacity in respective areas applicable to the general body of law, specialties or practice.
